1. Acceptance of Terms

By accessing and using CareKonnect ("the Platform"), a product of Kavash Ventures LLC, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your use of CareKonnect, a platform that connects patients with caregivers. By using our services, you agree to these terms in full.

2. Description of Service

CareKonnect is a platform that introduces individuals seeking care services ("Patients" or "families") to independent care providers ("Caregivers"). CareKonnect is an introducer only: we do not employ, supervise, direct, or guarantee any caregiver, and we are not a party to any care arrangement. Families make their own hiring decisions. We provide:

• A matching algorithm to connect patients with suitable caregivers
• Profile creation and management tools for both patients and caregivers
• Communication tools to facilitate interactions between matched parties
• Slot purchasing system for caregivers to access matching opportunities
• Identity verification of caregivers through our third-party provider (Didit)

3. Caregiver Slot System and Payment Terms

• Lead-quality guarantee: we credit your account for demonstrably invalid leads, including a disconnected or invalid phone number, a duplicate of a lead you already received, a request outside your service area, or a lead determined to be fraudulent
• Outside of the lead-quality guarantee, slot purchases are not refundable for unused or expired slots, or for dissatisfaction with matching results
• Credits are issued to your CareKonnect account rather than as cash refunds, unless required by law
• To request a credit, contact us within 30 days of receiving the lead with the relevant details
• All slot purchases are subject to applicable taxes and processing fees

4. Matching Process and Algorithm

Our proprietary matching algorithm considers multiple factors to connect patients with suitable caregivers:

• Priority System: Caregivers are considered in order of slot purchase timing
• Compatibility Factors: Location, availability, skills, experience, and patient preferences
• Availability: Current slot availability and active status
• Performance: Response times, completion rates, and user ratings

While we strive to optimize matches, the algorithm's decisions are final. Users agree that they will not dispute matching decisions or seek compensation for unsuccessful matches.

5. Liability Disclaimers

• No Liability for Interactions: CareKonnect is not liable for any damages, injuries, disputes, or issues that arise from contacting or meeting with patients
• Introducer, not employer: CareKonnect introduces families to independent caregivers and does not employ, supervise, or guarantee them; families make their own hiring decisions and are the hiring party
• User Responsibility: Users are responsible for their own safety and due diligence when contacting matched parties
• Identity Verification: While we verify caregiver identity through a third-party provider, we cannot guarantee the accuracy or completeness of information and do not perform criminal background checks
• Service Quality: We are not responsible for the quality, timeliness, or satisfaction of care services provided

6. Caregiver Identity Verification

CareKonnect verifies the identity of caregivers through our third-party verification provider (Didit):

• Caregivers complete government-ID verification and a liveness check before they can be matched
• We review caregiver profiles for completeness and accuracy
• Where a caregiver provides professional licenses or certifications, those details are displayed as supplied by the caregiver
• CareKonnect does not perform criminal background checks, employment verification, or reference checks. Identity verification is not a substitute for a criminal background check

7. User Responsibilities

Patient Responsibilities:

• Provide accurate and complete information about care needs and preferences
• Conduct personal due diligence before engaging with matched caregivers
• Maintain respectful communication with caregivers
• Report any concerns or issues through official channels
• Comply with all applicable laws and regulations

Caregiver Responsibilities:

• Maintain accurate and up-to-date profile information
• Purchase slots to access matching opportunities
• Respond promptly to match notifications
• Provide services in accordance with professional standards
• Maintain required insurance and certifications
• Comply with all applicable laws and regulations

8. Prohibited Activities

Users agree not to:

• Use the platform for any illegal or unauthorized purpose
• Provide false, inaccurate, or misleading information
• Harass, abuse, or harm other users
• Violate any local, state, or federal laws
• Attempt to circumvent platform security or access restrictions
• Share account credentials or access with unauthorized parties
• Use automated tools or bots to interact with the platform
• Solicit or advertise competing services

9. Account Suspension and Termination

CareKonnect reserves the right to suspend or terminate user accounts for violations of these terms:

• Violation of any terms or conditions
• Fraudulent or illegal activities
• Repeated complaints or negative feedback
• Failure to maintain required certifications or insurance
• Non-payment of fees or charges

Account termination does not entitle users to refunds for purchased slots or services.

10. Payment and Billing

• All payments are processed through secure third-party payment processors
• Users are responsible for all applicable taxes and fees
• Failed payments may result in account suspension
• Disputes must be filed within 30 days of the transaction
• Subscription fees (if applicable) are billed in advance

11. Intellectual Property

All content, features, and functionality of CareKonnect are owned by CareKonnect and are protected by copyright, trademark, and other intellectual property laws.

• Users may not copy, reproduce, or distribute platform content
• Platform algorithms and matching systems are proprietary
• User data remains the property of the respective users
• Feedback and suggestions become the property of CareKonnect

12. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using CareKonnect, you consent to the collection and use of information as outlined in our Privacy Policy.

13. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

• No warranties regarding platform availability, accuracy, or reliability
• Limited liability for direct damages up to the amount paid for services
• No liability for indirect, incidental, or consequential damages
• No liability for third-party actions or services
• No liability for technical failures or data loss

14. Indemnification

You agree to indemnify and hold CareKonnect harmless from any claims, damages, losses, or expenses arising from your use of the platform or violation of these terms.

15. Governing Law and Dispute Resolution

These terms are governed by the laws of Delaware. Any disputes arising from these terms or your use of the platform shall be resolved through:

• Informal negotiation between the parties
• Mediation if informal resolution fails
• Binding arbitration as a final resort
• Court litigation only in Delaware courts

16. Changes to Terms

CareKonnect reserves the right to modify these terms at any time. Changes will be effective immediately upon posting. Continued use of the platform constitutes acceptance of updated terms.
